End-user licence (draft)

1. Parties
This draft is between VST Services (the licensor of the VST- POS / Ariestotle software) and the licensed company that installs and operates the software (the shop).
2. What is granted
A non-exclusive, non-transferable right to use the software for the licensed company, for the paid edition (Trial / Basic = POS-only; Standard; Premium) and the paid number of concurrent billable seats. Super Admin is excluded from the seat count. Named user records may exceed seats; login is blocked when seats are full. There is no device count cap. A new browser, till or phone must be allowed by Super Admin before staff can sign in. Super Admin may sign in from any browser. The product name is VST SmartPOS on every edition.
Role, workspace (Till, Till admin, Field, Back office) and menu rights are access inside the paid edition. They are not separate SKUs.
3. What is not granted
- Ownership of the source code, trademarks, or the licence-signing keys.
- A right to run sister shops, extra companies, or extra branches beyond the licence limits.
- Training, custom reports, extra printers, data cleanup, or copying another company’s books layout — those are quoted projects.
- An SLA unless a support plan is sold separately.
4. Trial
A local trial exists so the shop can log in and test. Trial support is limited to “does the trial run.” No retainer and no response clock.
5. Defects vs support
Product defects, licence-token failures, and “will not start” are included with any paid edition: email or ticket, business hours, no SLA. That is not training and not “how do I cash up.”
6. Acceptable use
The shop must keep backups off the till PC, keep VAT and document wording under its own tax advice, and not use the software for unlawful sales. VST may suspend a licence that is cloned, tampered with, or used outside the licensed company.
